BluOps Terms of Service

2. Eligibility & Authority

You must:

• Be at least 18 years old
• Have the legal authority to bind the organization you represent

By creating an account, you represent that you meet these requirements.

3. Account Registration & Security

When registering, you agree to:

• Provide accurate and complete information
• Maintain the security of your credentials
• Promptly notify us of unauthorized access

Accounts are organization-based. Access is granted via user roles and permissions.

You are responsible for all activity under your account, including actions taken by authorized users.

4. User Roles, Permissions & Responsibilities

BluOps supports multiple user roles, including but not limited to:

• Super Admins / Owners
• Company Admins
• Agency Staff
• Client Users

Each role has defined access controls. You are solely responsible for:

• Assigning roles and permissions correctly
• Limiting client access to approved data
• Managing internal and external visibility

BluOps is not responsible for data exposure caused by misconfigured permissions or user error.

5. Acceptable Use

• Use the Service for unlawful or prohibited purposes
• Attempt unauthorized access to systems or data
• Interfere with platform performance or security
• Upload malicious code or harmful content
• Reverse engineer, copy, or resell the Service

We reserve the right to suspend or terminate access for violations.

6. Integrations & Third-Party Services

The Service integrates with third-party platforms (e.g., ClickUp, FreshBooks, payment processors, AI providers).

You acknowledge that:

• Third-party services are governed by their own terms
• BluOps does not control or guarantee third-party availability
• Data synced from third parties depends on their APIs and permissions

You authorize BluOps to access and process third-party data solely to provide the Service, subject to your configuration and permissions.

7. Data Ownership & License

You retain ownership of all data submitted to the Service (“Customer Data”).

You grant BluOps a limited, non-exclusive license to:

• Host, process, store, and display Customer Data
• Sync Customer Data with connected services
• Perform actions necessary to operate and improve the Service

BluOps does not sell Customer Data.

Data processing is governed by our Privacy Policy and, where applicable, a separate Data Processing Addendum.

8. AI Features & Outputs

If enabled, BluOps may offer AI-powered features.

You acknowledge that:

• AI outputs are generated probabilistically
• Outputs may be incomplete, inaccurate, or outdated
• AI features are provided for operational assistance only
• AI outputs do not constitute legal, financial, or professional advice

You are responsible for reviewing and validating AI-generated content before use.

Usage limits, availability, and costs may vary by plan.

9. Subscription, Billing & Payments

The Service is offered on a subscription basis.

You agree that:

• Fees are billed according to your selected plan
• Fees are non-refundable unless required by law
• Failure to pay may result in suspension or termination

Billing is handled through third-party payment processors.

Super Admins are responsible for subscription management and billing accuracy.

10. Availability & Service Level

The Service is provided on an “as-is” and “as-available” basis.

While we strive for high availability, we do not guarantee uninterrupted access. Downtime may occur due to:

• Maintenance or updates
• Infrastructure or hosting issues
• Third-party service outages

11. Suspension & Termination

You may cancel your subscription at any time.

We may suspend or terminate access if:

• These Terms are violated
• Payments fail
• Required by law or regulation
• Continued use poses security or operational risk

Upon termination, access to the Service and Customer Data may be limited or removed in accordance with our data retention policies.

12. Intellectual Property

BluOps retains all rights, title, and interest in:

• The Service
• Software, designs, workflows, and documentation
• Trademarks, branding, and proprietary technology

Nothing in these Terms grants you ownership of BluOps intellectual property.

13. Disclaimer of Warranties

To the maximum extent permitted by law, the Service is providedwithout warranties of any kind, including implied warranties of merchantability, fitness for a particular purpose, or non-infringement.

14. Limitation of Liability

To the maximum extent permitted by law:

• BluOps is not liable for indirect, incidental, special, or consequential damages
• Total liability shall not exceed the fees paid to BluOps in the twelve (12) months preceding the claim

15. Indemnification

You agree to indemnify and hold harmless BluOps from claims arising out of:

• Your use of the Service
• Your data or content
• Your violation of these Terms
• Your misuse of third-party integrations

16. Changes to These Terms

We may update these Terms from time to time.

Continued use of the Service after updates become effective constitutes acceptance of the revised Terms.

17. Governing Law

These Terms are governed by the laws of the State of Ohio, without regard to conflict-of-laws principles.
